Brigette’s Technology Consulting and Research Firm (hereinafter referred to as the "Firm" or "Contractor"), owned and operated by Brenda L. Nelson-Porter, a sole proprietor, agrees to contract the Firm's Request for Proposal (RFP), Invitation-to-Bid (ITB), or International Competitive Bidding (ICB) Service to (hereinafter referred to as the "Company Contractee"). Both parties have agreed upon the following terms and conditions associated with the development, revision, or editing of a RFP, ITB, or ICB to attempt to manage and mitigate growing risks.

Submit This Contract and Payment Prior to Editing Per Document (e.g., RFP/ITB/ICB) for Existing Documents Not Prepared by the Firm. When final review of each document is returned, the submission would conclude this contract for that one (1) document.

Additional Terms and Conditions

• This is a legal binding Service Contract when signed by both parties and not a contract for the sale of goods or products.

• This Service Contract has been prepared in English, and the English version thereof shall prevail and be binding even if internationally contracted.

• For the purpose of this Service Contract,

  • Neither Party will publicly release information concerning this agreement or its terms without the advance written consent of the other Party and any news release, public announcement [e.g., media (interviews, background discussions); social media (e.g., Facebook, Twitter, LinkedIn, and so forth), white papers, and so forth], or advertisement to be released in connection with this agreement and the subject matter hereunder shall have the written concurrence of the Parties prior to release, including as to form or content of such release, announcement or advertisement

• The prices in this agreement are effective for one (1) year from the signature date and when both parties sign.

• The prices stated in this Service Contract are stated in U.S. Dollars and are not subject to exchange rate adjustments.

• Make All Remittance (No Personal Checks) by U.S. Mail Payable to or Electronic Banking Transferable (BOA/WellsFargo) to Brenda Nelson-Porter

• The Contractor will charge a $30.00 fee for "each" final document that has to be resent to the Company Contractee. Resending documents take time away from the Contractor's time that can be spent on working with the current clients, whose contract has not expired. If the Contractor does not receive a return email error, then the sent (dispatched) document is deemed received by the Company Contractee as in accordance with the contract mailbox law.

• There are no guarantees that the Service selected will result in vendor/supplier/provider/client-response, quote, information, proposal, bid, interest, or positive feedback.

• Company Contractee may only terminate this Service Contract in whole or in part, by written notice of default to the Contractor if the Contractor fails to perform the Services within the time specified; otherwise, no refunds will be provided.

• Only changes by an agreed Amendment will be accepted to amend/adjust this Service Contract.

• Irrespective of the place of performance, this Service Contract and any dispute arising under or in connection with the execution of terms and conditions shall be governed by and interpreted in accordance with the applicable laws and regulations of the United States. Any legal disputes associated with this Service Contract will be mitigated in the State of Georgia (Newnan) United States of America.
