Sponsorship Director Commission Service Contract

Brigette’s Technology Consulting and Research Firm (hereby known as "Firm," Contractor), own and operated by Dr. Brenda L. Nelson-Porter, agrees to contract with  as a Sponsorship Director (Contractee/Non-Employee). Both parties have agreed upon commission of as payment per organization who pay for advertisement in Brigette's Explores e-Newsletter and other sources of the Firm.

In consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows:

1. BRIGETTE'S TECHNOLOGY AGREES TO THE FOLLOWING COMMISSION SCHEDULE:

Resulting in a payment of $100.00 or greater from the purchaser of the ad, the Firm agrees to pay 10% of the payment for advertisement to the contractee as commission. Payment will derive from organizations or individuals who advertise with the Firm by signing an agreement and paying for advertisement space. All received cash or compensations that are in the amount of $100.00 or greater that comes from the result of secured contracts on the part of  will be considered commissionable.

The commission payment will be sent to at after all checks clear but before the end of 30 days. 

The Firm will not be or is not responsible for any expenses or compensation (e.g., travel, food, telephone, and so forth) other than the above agreed 10% commission. The Firm shall not be obligated to reimburse for any additional expenses incurred in the performance of services pursuant to this Agreement unless agreed in writing by the Company in advance.

2.  GOVERNING LAW; CONSENT TO PERSONAL JURISDICTION:  THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF GEORGIA WITHOUT REGARD FOR CONFLICTS OF LAWS PRINCIPLES. AGENT HEREBY EXPRESSLY CONSENTS TO THE PERSONAL JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN GEORGIA FOR ANY LAWSUIT FILED THERE AGAINST THE AGENT BY THE COMPANY ARISING FROM OR RELATING TO THIS AGREEMENT.

3.  SEVERABILITY:  If one or more of the provisions in this Agreement are deemed void by law, then the remaining provisions will continue in full force and effect.

4.  HEADINGS:  Section headings are not to be considered a part of this Agreement and are not intended to be a full and accurate description of the contents hereof.

5.  ATTORNEY FEES:  In the event that this Agreement becomes subject to litigation between the parties hereto, the parties agree that the prevailing party shall be entitled to an award of attorney's fees, costs, and the prevailing statutory interest from the other party.

6.  ADDITIONAL ACKNOWLEDGMENTS:  Both parties acknowledge and agree that the parties: (a) are executing this Agreement voluntarily and without any duress or undue influence; (b) have carefully read this Agreement and have asked any questions needed to understand the terms, consequences, and binding effect of this Agreement and fully understand them; and (c) have sought the advice of an attorney of their respective choice if so desired prior to signing this Agreement.

7.  FURTHER DOCUMENT:  If any other provisions or agreements, such as the confidentiality agreement, are necessary to enforce the intent of this document, both parties agree to execute such provisions or agreements upon request. Either party can discontinue this agreement at any time via e-mail notice.
